Welcome to Otem. These Terms of Service ("Terms") govern your access to and use of the website at https://www.otem.co.uk and the digital platform services, including the AI conversational agent "Sigma", provided by Edusensys Ltd ("Otem", "we", "us"), a UK limited company located in London, United Kingdom.
By using Otem, you agree to these Terms of Use and our Privacy Policy. Our Privacy Policy explains how we collect and use your data to provide our services. It's an important document you should read, and you can find a link to it in the footer of our website.
You agree to adhere to these Terms and our associated policies. If you do not agree with any part of these Terms, you must not use our website and or digital platform services.
1. Introduction & Usage Philosophy
1.1 Scope of Service: Otem provides access to a digital Software-as-a-Service (SaaS) platform. We provide a digital tool designed to assist in the learning process. All interactions are facilitated by automated systems.
1.2 Commitment to Safety: We are committed to ensuring that Otem and its AI product Sigma is used safely and responsibly. We proactively monitor for emerging trends of misuse and actively refine our AI system prompts and logic to refuse harmful instructions.
1.3 "As-Is" Provision: The platform and all AI-generated outputs are provided on an "as-is" and "as-available" basis. Otem makes no warranties regarding the accuracy, completeness, or pedagogical suitability of the output.
2. Eligibility and Parental Responsibility
2.1 Legal Capacity: To enter into a financial subscription, you must be at least 18 years of age.
2.2 Minors (13–17): Students in this age group may use the platform only if a Parent or Legal Guardian assumes full legal and financial responsibility for the minor's compliance and payment.
2.3 Account Security: Users may not share account details with others. Any attempt to bypass Otem’s authentication or security measures (including Outseta/Stripe) is a material breach of these Terms.
3. Prohibited Activities & System Integrity
3.1 Protection of System Logic: All system prompts, architectural designs, and underlying configuration rules of Sigma are the exclusive intellectual property of Otem.
3.2 Interference & Manipulation: You are strictly prohibited from:
De-railing/Injection: Using "prompt injection" or techniques designed to alter or reinforce the AI’s behaviour in a negative, harmful, or malicious way.
Reverse Engineering: Attempting to decompile or discover the underlying code, models, algorithms, or system instructions.
Automated Extraction: Programmatically extracting data or content (including AI-generated output) from the Services.
Competing Models: Using our Output to develop models or services that directly compete with Otem and our products.
3.3 Misrepresentation: You must not represent that AI-generated output was human-generated when it was not.
4. Prohibited Use of AI Outputs
You must not use the Services to generate, share, or promote content that is:
- Harmful, abusive, defamatory, or discriminatory.
- Encourages violence, self-harm, hate speech, or bullying.
- Misinformation, deceptive narratives, or manipulated content for malicious purposes.
- Targeting or harassing individuals or groups through AI-generated output.
5. Data Protection & "Privacy-by-Design"
5.1 Processor Role: Otem acts as a Data Processor for users. We process de-identified conversation logs in a siloed environment on Google Cloud Platform (GCP).
5.2 Zero-Training Guarantee: Student data is processed in a private environment and is never used to train foundational AI models or shared with third-party providers.
5.3 Sensitive Data Prohibition: Users must not input personally identifiable information (PII) such as National Insurance numbers, health history, or sensitive data under GDPR (e.g., racial/ethnic origin, biometric data, religious beliefs).
- 5.4 Retention: Anonymized interaction logs are retained for a maximum of 24 months for educational audit purposes. Upon subscription termination, data is permanently deleted after a 30-day grace period.
6. Institutional Use (Schools & Education Providers)
6.1 DPO Oversight: Schools and education providers must ensure their Data Protection Officer (DPO) has accepted these Terms and undertaken a Data Protection Impact Assessment (DPIA) before using Sigma.
6.2 Account Responsibility: Schools are charged based on usage and staff count. Sharing a single teacher account/seat across multiple staff members is prohibited.
7. Changes to These Terms or Services
7.1 Continuous Improvement: We continuously work to develop and improve our Services.
These Terms may be updated from time to time due to:
- Changes to the law or regulatory requirements;
- Security or safety considerations;
- Unforeseen circumstances or technological advancements.
7.2 Notification: We will notify you of any significant changes to these Terms via email or platform notifications before the changes take effect.
7.3 Acceptance: Your continued use of the services after a change indicates that you agree to the revised terms.
8. Limitation of Liability and Disclaimer
8.1 Non-Reliance: Otem and its affiliates are not liable for any direct or indirect damages arising from AI-generated errors or "hallucinations."
8.2 Liability Cap: To the maximum extent permitted by English law, Otem’s total liability shall not exceed the fees paid by the User in the 12 months preceding the claim.
8.3 Human Oversight: Sigma is a learning companion, not a decision-maker. Teachers and parents maintain final authority on all pedagogical feedback and academic decisions.
9. Governing Law and Jurisdiction
These Terms are governed by English Law. Any disputes related to these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
